Pouncd's role
- Pouncd is not a registered broker-dealer, funding portal, or investment adviser, and it isn't an exchange or crowdfunding platform.
- Pouncd does not offer, sell, recommend, or solicit securities. Founders write their own pitches, and Pouncd doesn't endorse any of them.
- Pouncd takes no cut, commission, carry, or success fee on any investment. We earn only flat subscription and add-on fees that have nothing to do with whether a deal happens.
- Pouncd doesn't hold funds, run escrow, negotiate terms, or take part in any transaction.
No investment advice
Nothing on Pouncd, including pitches, rankings, boosts, Demo Day placement, or community posts, is investment, legal, tax, or financial advice. Featured or boosted pitches are paid placement, not a recommendation.
Do your own due diligence
We don't verify pitches, financials, traction, or identities beyond our basic application review. Check everything yourself and talk to your own lawyer, accountant, and financial adviser before you invest.
Investing in startups is risky
Most startups fail. You can lose your entire investment. Startup shares are illiquid and may be impossible to sell for years, or ever. Your stake may be diluted. Only invest money you can afford to lose completely.
Securities law is your responsibility
Investors: you're responsible for confirming you meet the accredited investor rules (SEC Rule 501 of Regulation D) or another valid exemption. Self-attesting on Pouncd doesn't make you accredited. Founders: you're responsible for making sure any offering complies with securities laws, including exemption rules, general solicitation limits, and required filings. Get a securities lawyer before raising.
